Codeium was founded in 2021 by Varun Mohan and Douglas Chen under the name Exafunction, initially focused on GPU virtualization infrastructure before pivoting in 2022 to build an AI-powered coding assistant offering free, unlimited code completion as a direct alternative to GitHub Copilot, a strategy that helped it grow to more than 800,000 active developers and reach unicorn status at a $1.25 billion valuation by mid-2024. In November 2024 the company launched Windsurf, an AI-native code editor built around an agentic coding assistant called Cascade, capable of understanding an entire codebase and making coordinated multi-file edits rather than only suggesting individual lines of code, part of a broader industry shift toward more autonomous "agentic" coding tools; the company subsequently renamed itself Windsurf in April 2025 to reflect this shift. Windsurf's growing prominence in the fast-moving AI coding assistant market, alongside rivals such as Cursor and GitHub Copilot, made it a high-profile acquisition target during 2025. An initially reported roughly $3 billion acquisition by OpenAI collapsed in May 2025 over intellectual property concerns related to Microsoft's relationship with OpenAI, and the situation resolved instead through an unusual two-part transaction: on July 11, 2025, Google agreed to pay approximately $2.4 billion to license certain Windsurf technology and hire away CEO Varun Mohan, co-founder Douglas Chen, and roughly 40 employees into Google DeepMind, without taking an equity stake in or control of the remaining company; three days later, on July 14, 2025, Cognition AI, the company behind the autonomous coding agent Devin, signed a separate deal to acquire the residual Windsurf business, including its intellectual property, product, brand, and customer base. Windsurf has continued operating as a Cognition AI subsidiary, with Cognition subsequently integrating its own coding models and Devin's autonomous agent capabilities into the Windsurf product.
